1. Acceptance of Terms

By accessing and using Portfelio (“the Service”), you accept and agree to be bound by the terms and provision of this agreement.

2. Description of Service

Portfelio is a comprehensive business management platform that provides customer relationship management (CRM) tools, project management capabilities, Google Calendar integration, payment processing, an AI assistant, and related business services.

3. User Accounts

3.1 Account Requirements

You must be at least 18 years old and provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.

4. Google Calendar Integration

4.1 Authorization

By connecting your Google Calendar to Portfelio, you authorize us to access your Google Calendar data, create and manage calendar events, and store necessary data to provide our services.

4.2 Data Responsibility

You are responsible for the accuracy of information in your calendar events and managing your Google account security. You can revoke our access at any time.

4.3 Service Limitations

Google Calendar integration is subject to Google’s API limitations and policies, network connectivity requirements, and Google service availability.

5. Instagram Integration

By connecting your Instagram account to Portfelio, you:

• Authorize us to publish content on your behalf
• Agree to comply with Instagram’s Terms of Use and Community Guidelines
• Acknowledge that Instagram features are subject to Meta’s API limitations
• Accept responsibility for content published through our service

We are not responsible for changes to Instagram’s API or policies that may affect service availability.

6. AI Assistant and AI Connectors

Portfelio provides an AI assistant (“Lio”) and AI connectors that let approved third-party AI clients (such as ChatGPT) access your data on your behalf via the Model Context Protocol. By enabling these features, you:

• Authorize the AI assistant or connected client to access your data within the permissions you grant during authorization (OAuth 2.1).
• Acknowledge that write actions (creating or editing projects, contracts, invoices, or calendar events) require a separate permission that is off by default, and that external clients must additionally confirm each write action before it executes.
• Acknowledge that when you use a third-party AI client, your use of that client is also governed by that provider’s terms and policies.
• Accept responsibility for actions you instruct the AI to take on your behalf, and may revoke a connection at any time.

We do not use your business content or your clients’ data to train AI models.

7. Acceptable Use

7.1 Permitted Use

You may use the Service for legitimate business and personal purposes in accordance with these terms.

7.2 Prohibited Activities

You may not use the Service for illegal activities, violate any applicable laws, infringe on intellectual property rights, attempt unauthorized access to our systems, or share your account credentials.

8. Payment Terms

Some features require payment of subscription fees. Payments are processed securely through Stripe. You must provide valid payment information and agree to pay all applicable fees.

9. Intellectual Property

The Service, including its software, design, and content, is owned by Portfelio and protected by intellectual property laws. You retain ownership of content you create using the Service.

10. Privacy

Your privacy is important to us. Our data practices are described in our Privacy Policy, which is incorporated into these Terms by reference.

11. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted service. We may perform scheduled maintenance that may temporarily affect service availability.

12. Limitation of Liability

To the maximum extent permitted by law, Portfelio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

13. Termination

You may terminate your account at any time. We may suspend or terminate your account if you violate these Terms. Upon termination, your access to the Service will cease and your data may be deleted according to our retention policy.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through email or service notifications. Continued use constitutes acceptance of modified terms.
